Terms of Service

Please read these terms carefully before using Jotley.

Summary (What You're Agreeing To)

By creating an account or otherwise using Jotley's website, desktop app, or APIs ("Services"), you enter into a legally binding contract with Jotley ("Jotley," "we," "us"). These Terms (1) set the rules for acceptable use, (2) explain how your content is stored (in your iCloud, not on our servers), (3) limit our liability and warranties to the extent the law allows, (4) require most disputes to be resolved by individual arbitration, and (5) incorporate global privacy laws such as GDPR and CCPA. If you do not or cannot agree, do not use the Services.

1. Effective Date & Acceptance

These Terms are effective on February 17, 2026 and govern all use of the Services after that date. You accept them when you (a) click an "I agree" button/checkbox, (b) create an account, or (c) access or use any part of the Services.

2. Eligibility

You must be at least 16 years old (or the age of digital consent where you live) and able to form a binding contract. Minors need verifiable parental consent.

3. Changes to These Terms

We may modify these Terms by posting an updated version and changing the "Effective Date." Material changes take effect 30 days after posting; continued use after that constitutes acceptance.

4. Account Registration & Security

Provide accurate information, keep credentials confidential, and notify us immediately of any unauthorized use. You are responsible for activity on your account.

5. The Services

Jotley offers AI-powered note-taking, transcription, and summarization tools for macOS and iOS delivered via a subscription-based software-as-a-service model. We may add, modify, suspend, or discontinue features at any time.

Third-Party AI Services

Our transcription and summarization features are powered by third-party AI services. By using these features, you also agree to their respective terms:

6. Fees & Payments

You agree to pay all fees described at checkout, plus any applicable taxes. Unless required by law, payments are non-refundable. Prices may change on at least 30 days' prior notice.

7. Your Content & Data Storage

7.1 Your Content, Your Storage

Your notes are stored in your personal iCloud account, governed by your agreement with Apple. Jotley does not store your recordings, transcripts, summaries, or notes on our servers.

To provide transcription and summarization features, we temporarily process your audio and text through third-party services (Deepgram and OpenAI). This processing is transient — we do not retain copies of your content after processing is complete.

You own everything you create. We have no access to your notes stored in iCloud.

7.2 Prohibited Content

You may not use the Services to process content that infringes intellectual-property rights, invades privacy, is unlawful, harassing, hateful, or otherwise prohibited by these Terms.

8. Acceptable Use & Prohibited Conduct

You agree not to:

  1. Reverse-engineer or decompile any part of the Services.
  2. Scrape, crawl, or use automated systems to send excessive requests.
  3. Interfere with or disable security or performance features.
  4. Violate export-control, sanctions, or anti-spamming laws.

We may suspend or terminate accounts that violate these rules.

9. Intellectual Property

Except for User Content, all software, machine-learning models, text, graphics, and other materials are Jotley's or its licensors' intellectual property, protected by law. No rights are granted except those explicitly stated here.

10. Privacy & Data Protection

Our separate Privacy Notice explains how we collect, use, and share personal data. If you are in the European Economic Area, we process data under GDPR Articles 6(1)(a), (b), or (f). California consumers have rights under the CCPA. We enter into Data Processing Agreements with subprocessors and provide Standard Contractual Clauses for international transfers where required.

11. Disclaimers of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOTLEY'S TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (a) US$100 OR (b) THE AMOUNTS YOU PAID TO JOTLEY DURING THAT PERIOD. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

13. Indemnification

You will defend, indemnify, and hold harmless Jotley and its affiliates from third-party claims arising from (a) your content, (b) your breach of these Terms, or (c) your violation of law. Conversely, Jotley will defend you against claims that the core Service infringes a third party's intellectual-property rights.

14. Governing Law

These Terms are governed by the laws of Delaware, United States, without regard to conflict-of-law rules. Mandatory consumer protections in your local jurisdiction still apply.

15. Dispute Resolution; Arbitration & Class-Action Waiver

Except for claims that qualify for small-claims court, all disputes will be resolved by binding arbitration administered by the American Arbitration Association on an individual basis. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR JURY TRIAL.

16. Termination

We may suspend or terminate your access at any time for violation of these Terms or to protect the Service. You may delete your account at any time. Sections 11–18 survive termination.

17. International Use

We make no representation that the Services are appropriate or available in all locations. You are responsible for compliance with local laws, including export controls.

18. Miscellaneous

  • • Entire Agreement. These Terms, the Privacy Notice, and any order forms are the entire agreement between you and Jotley.
  • • Severability. If any provision is unenforceable, the remainder still applies.
  • • Force Majeure. We are not liable for events beyond our reasonable control.
  • • Assignment. You may not assign rights or obligations without our consent; we may assign in connection with a merger or sale.
